Advancing Side Letter Workflows at Ropes & Gray With ProVision

We are excited to share that Ropes & Gray has now adopted ProVision across its asset management practice. This partnership has been developing for some time and grew out of a collaborative pilot, where their private funds team tested and evaluated the platform on real matters in a rigorous manner. Their feedback helped shape a version of ProVision that reflects how fund formation work is performed on day-to-day basis.


Ropes & Gray’s lawyers regularly deal with large and complex sets of side letters, sometimes hundreds of investor-specific provisions across multiple funds. ProVision now supports the team in managing that volume of material, helping reduce the amount of manual review typically required.


“By collaborating closely with the team at ILS, we helped develop ProVision in automating the extraction and comparison of side letter terms from multiple side letters for purposes of facilitating investor elections and ongoing compliance elections,” said Melissa Bender, co-lead of the private funds group.“ProVision has been a game-changer for our private funds group, fundamentally reinventing how we manage the side letter process. The tool streamlines tasks that were previously time-consuming and labor-intensive, allowing our attorneys to focus on higher-value work.”

The platform automates some of the most time-consuming steps in the side letter process, including extracting terms, preparing comparisons, organising MFN elections and generating the documents that support those elections. For lawyers working across several funds and sometimes over multiple years, this makes it easier to keep track of historical positions and maintain consistent terms. 


Ropes & Gray didn’t just adopt ProVision, they helped shape it. Throughout the pilot, their team identified what mattered most in day-to-day fund formation work, and many of those insights had direct influence on how the platform functions today. This collaboration makes it easier to shape ProVision around real legal needs instead of drifting toward abstract technology concepts.
